I'm pretty sure it will. I've used it on NT4 and Windows 2000, so it should run in XP as well.
But as for your "legit" copy, be sure you can get the license transferred to you. Not sure of the EULA for 2000i, but a lot of cad licenses do not allow transfers, and PTC may not generate a license for you. There are other very easy ways to move the existing license.dat file and use it on a new machine, but they all kind of run afoul of "legit".
