    Talk to a tax attorney. They will explain it to the level you desire. They can also look at your current structure and recommend which direction is best for your business and you. An accountant is mainly numbers, an attorney is law and understands what you are looking for. An attorney will get you the best bang for the buck and keep you out of trouble. Then you go back to your accountant for your taxes. Every so often get back with the tax attorney to go over your business to optimize your business based on current and future laws/tax changes.

    Edit: No one on this board can really answer your questions as we don't know your business. Sitting down with an attorney they can see everything and provide the best advice/direction specific to you. All of are different and have different goals.
